Zenzio Terms Of Service

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Zenzio (the "Service") at www.Zenzio.com (the “Site”) operated by Zenzio Solutions, Corp., ("Zenzio") ("us", "we", or "our"). These Terms govern your access to and use of the Site (as defined below), including any content, functionality, and Services offered by us, whether as a guest or a registered user.

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to visit the Site or use the Service.

If you provide us your Mobile Phone number, you are agreeing to receive text messages from us. You may opt out of receiving text messages from us at any time by replying STOP to any text message you receive from us.

Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Zenzio cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Zenzio customer support team.

A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide Zenzio with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Zenzio to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, Zenzio will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice. Any Subscription not paid for in advance, in accordance with these terms, or while awaiting manual payment may be suspended or cancelled by us at any time.

The Service is an online content catalog and creation service intended to assist ourusers in creating and publishing content. You may only register yourself or someone that has given you permission to register to be monitored under the Service. You hereby represent and warrant that you are the individual registering for the Service on behalf of yourself, or another individual who has given you permission to register on their behalf.

Fee Changes

Zenzio, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Zenzio will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Refunds

For annual plans, we offer a full refund of the first year of service if requested within 14 days of starting your subscription if you have not used the service to download, copy, or post more than five (5) items of any of our services. For monthly plans, we offer a full refund of the first month of service if requested within 14 days of starting your subscription if you have not used the service to download, copy, orpost more than five (5) items of any of our services.
After 14 days, you may cancel your plan at any time. You are billed in advance of the term of service. You will not receive a refund for any period you have started after 14 days. We do want you to be happy with the service. If at any time, you want to discuss cancellation, please contact us at support@Zenzio.com. If you request a chargeback from your credit card provider, you agree to pay the chargeback fees incurred by us to dispute the matter. You also agree to pay any invoice for any services provided by us to you within the scope of this agreement. So, again, please contact us first as the process is easier and less expensive on both sides.
If you have downloaded or used our service to post more than five (5) items of any of our services, you are not eligible for a refund.
Zenzio may, at its sole discretion and at any time, refuse to refund any Subscription fees.
If you are found to be using any or part of our copyrighted material that was obtained during a period of time when your use of the system was refunded or not authorized. You agree to pay Zenzio $100.00 (US Dollars) for each item of material that was obtained during a period of time when your use of the system was refunded or not authorized.

Accounts

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Your use of this account is for your use only. You may not use this Service via API, screen-scraping or other non-human means in order to include our Service inside of your service without our express written permission.

Prohibited Uses

You may use the Service and the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Service and the Site:

In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
For the purpose of exploiting, harming, or attempting to exploit or harm others in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation.

To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm us or users of the Service or expose them to liability.

Additionally, you agree not to:

Use the Service or Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Service, including their ability to engage in real time activities through the Site.
Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose without our prior written consent.
Use any device, software, or routine that interferes with the proper working of the Site.
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
Otherwise attempt to interfere with the proper working of the Site.
Share your login with others. Only you can use this service.

The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Zenzio has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that Zenzio shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Geographic Restrictions

The owner of the Site is based in the state of Florida in the United States. We provide this Site and the related Service for use only by persons located in the United States. We make no claims that the Service, the Site or any of its content is accessible or appropriate outside of the United States. You agree to defend, indemnify and hold harmless Zenzio and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

Limitation Of Liability

In no event shall Zenzio, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, exemplary, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party or related to the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. in no event shall our total liabilitY to you for all Claims, damages, or losses arising from your use of the Service exceed in the aggregate all subscription fees paid by you to us during the twelve (12) months preceding any such claim.

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Zenzio its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements or that the service will protect any individual or entity from harm. if you are dissatisfied with the service, your sole remedy is to discontinue using the service.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Hillsborough County, Florida, United States, without regard to its conflict of law provisions.

Arbitration

At our sole discretion, we may require you to submit any disputes arising from the use of these Terms or the Service, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Florida law.

Waiver and Severability
